1. Introduction

Nanbu is a premium membership platform that allows content creators (“Creators”) to share user-generated content (UGC) with their subscribing audience (“Members”). The platform also supports YouTube channel integration for Creators.

By accessing or using the Platform, you agree to be bound by these Terms of Service and Acceptable Use Policy (“Terms”). If you do not agree, you must discontinue use of the Platform immediately. These Terms constitute a legally binding agreement between you and Nanbu.

2. Eligibility & Account Registration

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher) to use Nanbu. By creating an account, you represent and warrant that you meet this age requirement.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at [Insert Support Email] if you suspect any unauthorized access to your account.

We reserve the right to refuse registration, suspend, or terminate any account at our sole discretion, including but not limited to cases of suspected fraud, misrepresentation, or violation of these Terms.

3. Platform Services

Nanbu provides the following services:

  • A platform for Creators to publish and monetize user-generated content (text, images, videos, audio) behind tiered subscription paywalls.
  • Subscription-based membership access for Members to view Creator-exclusive content.
  • Integration with YouTube channels for Creators to connect their channel with their Nanbu profile.
  • Communication features (broadcast updates and direct messages at eligible tiers).
  • Payment processing via Razorpay for subscription billing (UPI, cards, net banking, and other supported methods).

4. Content Ownership & License Grant

4.1 Creator Content Ownership

Creators retain full ownership of all intellectual property rights in the content they upload, create, and publish on the Platform (“Creator Content”). Nanbu does not claim ownership of any Creator Content.

4.2 License Grant to Nanbu

By uploading content to the Platform, Creators grant Nanbu a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify (solely for formatting, resizing, watermarking, and technical optimization purposes), distribute, and display the Creator Content solely for the purposes of operating, promoting, and improving the Platform. This license continues for as long as the Creator Content remains on the Platform and is revoked upon deletion of the content by the Creator, subject to reasonable technical delays for removal.

4.3 Member Rights

Members are granted a limited, non-exclusive, non-transferable, revocable right to view Creator Content they have paid to access, solely for personal, non-commercial use. Members may not download, redistribute, re-publish, or create derivative works from Creator Content unless explicitly authorized by the respective Creator.

5. Prohibited Content & Acceptable Use Policy

Nanbu is a strictly non-NSFW platform. The following content and activities are absolutely prohibited on the Platform:

5.1 Prohibited Content Categories

  • Pornographic or sexually explicit material of any kind, including but not limited to images, videos, text, or audio depicting nudity, sexual acts, or sexual solicitation.
  • NSFW (Not Safe For Work) content, including suggestive, provocative, or adult-oriented material.
  • Child Sexual Abuse Material (CSAM) or any content that exploits or endangers minors in any way.
  • Content promoting violence, terrorism, or self-harm, including graphic depictions of violence, incitement to commit violent acts, or content glorifying terrorist organizations.
  • Hate speech or discriminatory content targeting individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, caste, or national origin.
  • Content that infringes upon intellectual property rights of third parties, including copyrighted material and trademarks used without authorization.
  • Fraudulent, misleading, or deceptive content, including scams, phishing attempts, pyramid schemes, or any content designed to deceive or defraud users.
  • Illegal content under the laws of the Republic of India, including but not limited to content that violates the Indian Penal Code, Information Technology Act, 2000, or any other applicable law.
  • Malware, viruses, or harmful code of any kind.
  • Spam, unsolicited advertising, or bulk messaging not authorized by Nanbu.
  • Content that violates the privacy of others, including doxxing, non-consensual sharing of personal information, or revenge media.
  • Content related to regulated goods and services such as gambling, narcotics, weapons, or tobacco products.

5.2 Prohibited User Conduct

  • Using the Platform for any purpose that is unlawful, harassing, defamatory, or otherwise objectionable.
  • Attempting to circumvent content moderation systems, security measures, or access controls.
  • Creating multiple accounts to evade bans or restrictions.
  • Impersonating another person, entity, or Nanbu staff.
  • Using automated bots, scrapers, or similar tools to access or interact with the Platform without explicit written permission.
  • Reverse-engineering, decompiling, or disassembling any part of the Platform.

6. Content Moderation & Enforcement

6.1 Automated Moderation

Nanbu employs automated content moderation using Amazon Web Services (AWS) Rekognition and other machine-learning-based tools to scan all uploaded media (images and videos) for prohibited content before it is made visible to any user. Content flagged by automated systems is held in a review queue and is never auto-published.

6.2 Community Reporting

Users may report content they believe violates these Terms by using the “Report” functionality available on the Platform. All reports are reviewed by our moderation team.

6.3 Enforcement Actions

Nanbu reserves the right to take the following actions without prior notice in response to violations of these Terms:

  • Removal or suppression of any content that violates these Terms.
  • Immediate suspension or permanent termination of user accounts (both Creator and Member accounts) found to be in violation.
  • Withholding or forfeiting of pending payouts for Creators whose accounts are terminated for policy violations.
  • Reporting illegal activity to the relevant law enforcement authorities, including providing user data as required by law.

Decisions regarding content removal and account termination are made at Nanbu’s sole discretion. Repeated or severe violations will result in permanent bans with no opportunity for reinstatement.

7. Payments, Subscriptions & Billing

7.1 Payment Processing

All payments on the Platform are processed by Razorpay Software Private Limited(“Razorpay”), a RBI-licensed payment aggregator. By making a payment, you agree to Razorpay’s Terms of Use and Privacy Policy.

7.2 Subscription Terms

Subscriptions are billed on a monthly recurring basis. The price of each subscription tier is set by the respective Creator within the Platform’s permitted price band. All prices are listed in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.

7.3 Refunds

Please refer to our Refund and Cancellation Policy for detailed information on refund eligibility and processing.

8. Creator Obligations

  • Creators are solely responsible for the content they publish on the Platform and must ensure it complies with these Terms, applicable Indian laws, and Razorpay’s Acceptable Use Policy.
  • Creators represent and warrant that they have all necessary rights, licenses, and permissions to publish the content they upload.
  • Creators acknowledge that the Creator is the merchant of record for subscription revenue and is responsible for their own GST/tax compliance obligations.
  • Creators must not use the Platform to solicit transactions outside the Platform or direct users to competing services.

9. YouTube Integration

Creators may optionally connect their YouTube channel to their Nanbu profile using Google’s OAuth 2.0 authentication. By doing so, you authorize Nanbu to access limited YouTube channel data (channel name, profile picture, and public video metadata) through the YouTube Data API v3.

Nanbu’s use of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. You may revoke this access at any time through your Google Account settings or by disconnecting your channel in your Nanbu settings.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Nanbu, its directors, officers, employees, agents, and affiliates shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses.
  • Damages arising from your use of or inability to use the Platform.
  • Any content posted by users (Creators or Members) on the Platform.
  • Any unauthorized access to or alteration of your data or transmissions.
  • Any interruption, suspension, or termination of the Platform.
  • Actions of third-party payment processors (including Razorpay) or other third-party service providers.

In no event shall Nanbu’s total aggregate liability to you exceed the amount you have paid to Nanbu in the twelve (12) months preceding the event giving rise to the claim, or INR 5,000, whichever is lower.

11. Indemnification

You agree to indemnify, defend, and hold harmless Nanbu, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Platform.
  • Your violation of these Terms.
  • Your violation of any applicable law, regulation, or third-party rights.
  • Any content you upload, post, or transmit through the Platform.

12. Disclaimers

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Nanbu does not warrant that the Platform will be uninterrupted, secure, error-free, or free from viruses or other harmful components. Nanbu does not endorse, guarantee, or assume responsibility for any Creator Content or third-party services advertised or offered through the Platform.

13. Intermediary Status & Compliance

Nanbu operates as an intermediary as defined under Section 2(1)(w) of the Information Technology Act, 2000 and exercises due diligence in accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (“IT Intermediary Rules”).

As an intermediary, Nanbu provides the technology platform and does not initiate or select the content transmitted or stored on the Platform. While we take proactive steps to moderate content (as described in Section 6), the ultimate responsibility for the legality and appropriateness of user-generated content lies with the user who uploads it.

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising from or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts located in [Insert City], India.

15. Modifications to These Terms

Nanbu reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page with a revised “Last updated” date and, where appropriate, by sending a notification to your registered email address. Your continued use of the Platform after such changes constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with the Privacy Policy and Refund and Cancellation Policy, constitute the entire agreement between you and Nanbu with respect to the subject matter hereof and supersede all prior or contemporaneous communications, whether electronic, oral, or written.
